For client projects, intellectual property rights will be defined in the project agreement. Typically, upon full payment, clients receive ownership of the final deliverables, while NidusLab retains the right to showcase the work in our portfolio unless otherwise agreed.

Payment Terms

Payment terms for services will be specified in the project proposal or contract. Generally, we require:

An initial deposit before work begins
Milestone payments as outlined in the project agreement
Final payment upon project completion and delivery

Failure to make timely payments may result in suspension of services or termination of the project. All fees are non-refundable unless otherwise stated in the project agreement.

Project Timelines and Deliverables

We strive to meet all agreed-upon deadlines and deliver high-quality work. However, timelines are estimates and may be subject to change due to unforeseen circumstances, client delays in providing feedback or materials, or changes in project scope. We will communicate any delays promptly and work with you to adjust timelines as needed.

Revisions and Changes

Each project includes a specified number of revision rounds as outlined in the project agreement. Additional revisions or changes beyond the agreed scope may incur additional charges. We encourage clear communication throughout the project to minimize the need for extensive revisions.

Confidentiality

We respect the confidentiality of your business information and will not disclose any proprietary or sensitive information to third parties without your consent, except as required by law. We may require clients to sign a Non-Disclosure Agreement (NDA) for projects involving highly sensitive information.

Limitation of Liability

To the fullest extent permitted by law, NidusLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

Your use or inability to use our services
Any unauthorized access to or use of our servers and/or any personal information stored therein
Any interruption or cessation of transmission to or from our services
Any bugs, viruses, or other harmful code that may be transmitted through our services by any third party

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to NidusLab for the specific service giving rise to the claim.

Warranties and Disclaimers

We provide our services on an "as is" and "as available" basis. While we strive for excellence, we make no warranties or representations about the accuracy, reliability, or completeness of our services. We do not guarantee that our services will be uninterrupted, secure, or error-free.

For completed projects, we provide a warranty period (typically 30-90 days) during which we will fix any bugs or issues arising from our work at no additional cost. This warranty does not cover issues resulting from client modifications, third-party integrations, or hosting environment changes.

Third-Party Services and Links

Our website and services may contain links to third-party websites or services that are not owned or controlled by NidusLab. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that NidusLab shall not be responsible or liable for any damage or loss caused by your use of any third-party content, goods, or services.

Termination

We reserve the right to terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to breach of these terms. Upon termination, your right to use our services will immediately cease.

Either party may terminate a project agreement with written notice. Termination terms, including payment for work completed and return of materials, will be governed by the specific project agreement.

Governing Law and Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of the United States and the State of New York, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved through good faith negotiations. If negotiations fail, disputes will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

Changes to Terms
